General Terms & Conditions

Professional Services Agreement.

1. Engagement & Authorization

The Client hereby authorizes Eyelash Technologies to act as its exclusive agent for the management of Google Ads accounts. The Client agrees to provide the Agency with all necessary access codes, logins, and passwords to relevant analytics and advertising accounts.

2. Fees & Payment Terms

Management fees are calculated as a flat 20% of the projected monthly ad budget. Fees are invoiced upfront at the beginning of the billing cycle. Payment is due upon receipt. Media costs are paid directly by the Client to Google. In the event actual ad spend exceeds the projected budget, a reconciliation invoice for the difference in management fees will be issued.

3. Confidentiality & Data Ownership

All data, including customer lists, sales figures, and campaign performance metrics, shall remain the strict property of the Client. Eyelash Technologies agrees not to disclose such information to third parties. Upon termination and full settlement of invoices, all ad accounts and creative assets created by the Agency remain the property of the Client.

4. Termination

Either party may terminate this agreement with a 30-day written notice. During the notice period, the Agency will continue to manage campaigns and the Client will remain liable for management fees proportional to the spend incurred during this period.

5. Limitation of Liability

The Agency shall not be liable for any downtime, technical issues, or policy changes by Google that affect campaign performance. The Agency makes no guarantee regarding specific results, including traffic numbers, sales, or position reporting.
